Terms of Service

1. Acceptance of Terms

By creating an account or using Velnai (the "Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Velnai provides a platform for businesses to build, deploy, and manage AI-powered WhatsApp chatbots and voice agents. Features include conversation management, knowledge bases, integrations with third-party tools, and analytics.

3. Account Registration

You must provide accurate and complete information when registering. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access.

4. Acceptable Use

You agree NOT to use Velnai to:

  • Send spam, unsolicited marketing, or messages in violation of WhatsApp's Business Policy
  • Impersonate any person or entity
  • Distribute malware, viruses, or harmful code
  • Engage in fraud, phishing, or deceptive practices
  • Violate any applicable law or regulation
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Resell, sublicense, or redistribute the Service without our written permission
  • Use the Service to compete with Velnai
  • Scrape or harvest data from the Service in bulk

5. Customer Content and Data

You retain all ownership rights to the messages, contacts, and conversations your agents handle ("Customer Content"). You grant Velnai a limited license to process, store, and transmit Customer Content solely to provide the Service. You are responsible for ensuring you have the necessary consents from your end customers to process their data through Velnai, including compliance with WhatsApp Business Policy, GDPR, CCPA, and other applicable laws.

6. Third-Party Services

Velnai integrates with third-party services (Twilio, OpenAI, ElevenLabs, Cal.com, Shopify, etc.). Your use of those services is subject to their respective terms and policies. We are not responsible for third-party services or their availability.

7. Subscription and Payment

Paid plans are billed in advance on a recurring basis (monthly or annually). All fees are non-refundable except where required by law. We may change prices with 30 days' notice to existing customers. You can cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.

8. Free Trial

We may offer free trials. You will not be charged until the trial period ends. You may cancel during the trial without charge.

9. Service Availability

We strive for high uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance and will provide advance notice when possible. We are not liable for service interruptions caused by third-party providers or force majeure events.

10. Termination

We may suspend or terminate your account at any time if you violate these Terms, fail to pay fees, or for any other reason with reasonable notice. You may terminate your account at any time. Upon termination, your right to use the Service ends immediately, and we may delete your data after a reasonable grace period.

11. Intellectual Property

The Velnai platform, including all software, designs, logos, and content (excluding Customer Content), is owned by Velnai and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law, Velnai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses. Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold Velnai harmless from any claims, damages, or expenses arising from your use of the Service, your Customer Content, or your violation of these Terms.

15. Governing Law

These Terms are governed by the laws of the United States. Any disputes shall be resolved in the courts of competent jurisdiction in the United States.

16. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by email or through a notice on the platform. Continued use of the Service after changes constitutes acceptance of the modified Terms.
